Software License Agreement (EULA)

This Software License Agreement ("Agreement") is between IXXO Cart ("Licensor," "we," "our," "us") and the customer or entity ("Licensee," "you," "your") that accesses or uses the IXXO Cart platform and related software, services, and plugins (collectively, the "Software").
By using or accessing the Software, you agree to be bound by this Agreement. If you do not agree, you may not use the Software.
License Grant
Subject to payment of applicable fees and compliance with this Agreement, IXXO Cart grants the Licensee a limited, non-exclusive, non-transferable, and revocable license to access and use the Software via web browser or mobile application solely for business purposes within the scope of the purchased plan or subscription.
Each license is issued per domain or subdomain instance. A single license covers one production instance of the Software, which may operate under a customer-owned domain or a subdomain provided by IXXO Cart.
License Scope
a. The license covers the core IXXO Cart platform and any licensed plugins or feature packs as specified in the subscription plan.
b. Access levels, user limits, and feature availability depend on the selected pricing tier and plan configuration.
c. The Software is provided as a service (SaaS). No source code, installation package, or backend access is provided to the Licensee.
d. The license does not grant ownership of the Software or any associated intellectual property.
White Label Use
If the Licensee activates the white-label plugin, IXXO Cart branding may be hidden or replaced with the Licensee's own brand identity.
This functionality is cosmetic only and does not transfer ownership, rights, or intellectual property. The Software remains the exclusive property of IXXO Cart.
Prohibited Uses
The Licensee shall not:
a. Copy, modify, or create derivative works of the Software.
b. Reverse engineer, decompile, or attempt to extract source code.
c. Rent, lease, sublicense, distribute, or otherwise transfer access to third parties except as permitted under an authorized reseller or partnership agreement.
d. Circumvent user or plan limitations.
e. Use the Software to develop or offer competing products.
Any breach of this section automatically terminates the license without notice.
Intellectual Property
All rights, title, and interest in the Software, including all code, design, documentation, and trade secrets, remain the sole property of IXXO Cart.
Nothing in this Agreement shall be construed as granting ownership or intellectual property rights to the Licensee.
Updates and Modifications
IXXO Cart may update, enhance, or modify the Software at any time. Such updates are included within the active subscription term unless otherwise specified.
We are not obligated to maintain backward compatibility with third-party integrations or custom configurations following updates.
Resale and Partnerships
Authorized resellers or partners may distribute and offer branded versions of the Software only under a separate written Reseller or Partnership Agreement signed with IXXO Cart.
This Agreement does not grant any reseller or sublicensing rights by default.
Term and Termination
The license remains valid for the duration of the active subscription period.
We may terminate or suspend access if you breach any provision of this Agreement, fail to pay applicable fees, or violate our Terms of Service.
Upon termination, your right to use the Software ceases immediately, and all access credentials may be revoked.
Data and Privacy
Use of the Software is also governed by our Privacy Policy and Cookie Policy.
You remain the data controller of your own customer data stored within your licensed instance, while IXXO Cart acts as a data processor under GDPR.
Disclaimer of Warranties
The Software is provided "as is" and "as available," without warranties of any kind, express or implied.
IXXO Cart disclaims all implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
We do not guarantee uninterrupted operation, error-free performance, or compatibility with all systems.
Limitation of Liability
To the maximum extent permitted by law, IXXO Cart shall not be liable for indirect, incidental, consequential, or special damages, including loss of data, business interruption, or profits, even if advised of such damages.
Our total aggregate liability under this Agreement shall not exceed the total amount paid by the Licensee to IXXO Cart in the twelve (12) months preceding the claim.
Governing Law and Jurisdiction
This Agreement is governed by the laws of Cyprus and applicable European Union regulations.
Any disputes shall be subject to the exclusive jurisdiction of the competent courts of Nicosia, Cyprus.
Entire Agreement
This Agreement, together with the Terms of Service, Privacy Policy, and any applicable reseller or partnership agreements, constitutes the entire understanding between the parties regarding the use of the Software.
